MEDDICC INDIVIDUAL USER TERMS
(END-USER LICENSE AGREEMENT)

These Terms of Service (these "Terms") constitute a binding agreement between MEDDICC Ltd, a company incorporated in England and Wales with company number 12886938 and registered office at 2 The Crescent, Wisbech, Cambridgeshire, United Kingdom, PE13 1EH ("MEDDICC", "we", "us" or "our"), and you as an individual user ("you" or "User").

By creating an account with MEDDICC or accessing our Services, you agree to be bound by these Terms. These 
Terms apply to individual professional users accessing MEDDICC's software platform, training content, live sessions, and educational materials for individual professional use.

 

1.    DEFINITIONS

  • Applicable Law means all laws, statutes, ordinances, regulations and other types of government directives applicable to the provision of the Services;
  • Community Guidelines means MEDDICC's community guidelines as published at https://meddicc.com/community-guidelines and as may be updated from time to time;
  • Confidential Information means any proprietary information, training materials, methodologies, or business information disclosed by MEDDICC;
  • Documentation means the user guides, help materials and other technical materials relating to the Services made available by MEDDICC;
  • Effective Date means the date you first access the Services or create an account with MEDDICC;
  • Feedback means any suggestions, enhancement requests, recommendations or other feedback provided by you regarding the Services;
  • Intellectual Property Rights means all intellectual property rights worldwide, including patents, copyrights, trademarks, trade secrets, database rights and other proprietary rights;
  • Privacy Policy means MEDDICC's privacy policy as published at https://meddicc.com/privacy-policy and as may be updated from time to time;
  • Services means MEDDICC's software platform, training content, educational materials, certification programs, live sessions, community features and related services made available to individual users;
  • Term means the period during which these Terms remain in effect, commencing on the Effective Date and continuing for the subscription period;
  • Training Content means any educational materials, courses, masterclasses, certification programs, methodologies, frameworks, playbooks, software features and related content provided by MEDDICC;
  • User Content means any content, materials, posts or comments posted or uploaded by you through community features of the Services.

 

2.    PERSONAL USE LICENCE

2.1     Personal Licence Grant: Subject to these Terms and payment of applicable fees, MEDDICC grants you a personal, individual non-exclusive, non-transferable, revocable licence during the Term to access and use the Services either:
(a) in your individual capacity for business activities at your current employer, this includes using the Services to manage business opportunities, access training content, and utilise AI assistance; or
(b) for personal professional use and career advancement. In both cases, access is personal to you and may not be shared.

2.2     Individual Use Restrictions and Business Liability: You may use the Services in your individual capacity for business activities or personal professional use, but you may not:  
(i) share account credentials;  
(ii) allow others to access the Services through your account;  
(iii) share, distribute, or make Services available to colleagues, employers, or any third parties;  
(iv) create materials for company distribution, shared accounts or team access;  
(v) Your employer may purchase individual licenses for multiple employees, but each license remains individual and personal to the named user. All Services are protected by copyright. Unauthorised sharing constitutes infringement regardless of intent. 

2.3     Business Context: Whether you purchase this license yourself or your employer purchases it for you, this Agreement is between MEDDICC and you individually. Your employer has no rights under this Agreement and you may not share access to the Services with your employer or colleagues.

2.4     Business Account Requirement: If you wish to use the Services for or on behalf of your employer or any business organisation, you must purchase a separate business account. Use of individual accounts for business purposes is prohibited.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.5    Intellectual Property and Employer Liability:
(a) All Services and content are protected by copyright. Unauthorised sharing of access constitutes infringement.
(b) You may use the Services for business purposes in your individual capacity, but you may not share your account access, login credentials, or direct access to the platform with colleagues or your employer.
(c) Your employer may benefit from your use of MEDDICC methodologies in your work, but this does not grant your employer any direct access rights to the Services.
(d) If you provide colleagues or your employer with direct access to the platform (sharing logins, screenshots of proprietary content, downloading materials for others, etc.), both you and your employer may be liable for copyright infringement. 

YOU WARRANT THAT YOU WILL NOT SHARE YOUR ACCOUNT ACCESS, LOGIN CREDENTIALS, OR PROVIDE DIRECT ACCESS TO THE SERVICES TO ANY OTHER PERSON INCLUDING YOUR EMPLOYER OR COLLEAGUES. YOU ACKNOWLEDGE THAT ANY SUCH SHARING EXPOSES BOTH YOU AND YOUR EMPLOYER TO LEGAL LIABILITY INCLUDING POTENTIAL ENHANCED DAMAGES. (f) MEDDICC RESERVES THE RIGHT TO PURSUE ALL AVAILABLE LEGAL REMEDIES AGAINST YOU PERSONALLY, YOUR EMPLOYER, OR BOTH FOR ANY UNAUTHORISED SHARING OF ACCESS TO ITS INTELLECTUAL PROPERTY.

 

3.    SOFTWARE, TRAINING CONTENT AND CERTIFICATION

3.1     Training Content Access: You receive access to the Training Content specified in your subscription solely for your personal professional use during the Term.

3.2     Certification Programs: Certification programs are included in your membership package. You may obtain certificates by completing the required programs. Certificates are personal to you.

3.3     Content Updates: MEDDICC may update Training Content from time to time. You will receive access to updated versions during your subscription period.

3.4     No Sharing: You shall not reproduce, distribute, share, screenshot, record, or make Training Content available to any third parties, including colleagues, employers, or business associates.

 

4.    COMMUNITY PARTICIPATION

4.1     Community Guidelines: Your participation in community features is subject to the Community Guidelines, which are incorporated into these Terms.

4.2     User Content: You retain ownership of User Content but grant MEDDICC a licence to host, display, and use such content in connection with the community features.

4.3     Professional Conduct: You agree to maintain professional standards in all community interactions and not to share confidential business information of your employer or clients.

 

5.    YOUR RESPONSIBILITIES

5.1     You shall:
(a) comply with all Applicable Law in using the Services;
(b) use the Services only in your individual capacity for your personal use;
(c) maintain appropriate security measures for your account;
(d) comply with the Community Guidelines;
(e) not share access to the Services with any other person; and
(f) promptly notify MEDDICC of any unauthorised access to your account.

5.2     You shall not:
(a) reverse engineer or attempt to derive source code from the Services;
(b) use the Services to develop competing products or services;
(c) use the Services for any unlawful purpose;
(d) upload or transmit any malicious content;
(e) violate MEDDICC's intellectual property rights;
(f) share your account credentials; or
(g) use the Services in any manner that could damage or impair the platform.

 

6.    FEES AND PAYMENT

6.1     Subscription Fees: Subscription fees may be structured as bundled pricing or separate pricing for software
access and training content, as specified at the time of purchase. Training content is non-refundable once
accessed. Software access may be subject to different refund terms as required by applicable consumer
protection laws. You shall pay all subscription fees according to the payment terms for your selected plan. Fees are non-refundable except as expressly provided in these Terms.

6.2     Payment Processing: Payments may be processed by third-party payment processors (such as Stripe), and such payments are subject to the payment processor's terms and conditions.

6.3     Price Changes: MEDDICC may increase subscription fees upon at least sixty (60) days' notice. You may cancel your subscription if you do not accept the increased fees.

6.4     Late Payment: If payment is overdue by more than fifteen (15) days, MEDDICC may suspend your access to the Services.

6.5    Payment and Recurring Billing:
(a) All fees are payable in advance via Stripe or other payment processors designated by MEDDICC.
(b) By subscribing, Customer authorises MEDDICC to charge the payment method on file on a recurring basis for the subscription fees according to the billing frequency available for your subscription plan (currently annual billing, with monthly billing available where
required by applicable law such as the EU Data Act).
(c) This constitutes Customer's standing mandate for recurring payments until Customer cancels the subscription or these Terms are terminated.
(d) Customer is responsible for maintaining current payment information. If payment fails, MEDDICC may suspend access after reasonable notice.
(e) Customer may cancel recurring billing at any time through their account settings or by contacting MEDDICC, with cancellation taking effect at the end of the current billing period.
(f) Payments are processed by Stripe and subject to Stripe's terms and conditions. MEDDICC is not responsible for payment processing issues.
(g) All fees are non-refundable except as required by applicable consumer protection laws.

6.6    Refund Terms: Training content accessed is non-refundable. Software access may be subject to different refund terms as required by consumer protection laws.

 

7.    INTELLECTUAL PROPERTY

7.1     MEDDICC's Ownership: MEDDICC retains all rights, title and interest in the Services, Training Content, methodologies and all related intellectual property.

7.2     Feedback: If you provide Feedback, you grant MEDDICC the right to use, incorporate and exploit such Feedback without obligation to compensate you.

7.3    Limited Use Rights: Your rights to use the Training Content are strictly limited to personal professional use and terminate upon expiration or termination of these Terms.

 

8.    PRIVACY AND DATA PROTECTION

8.1    Privacy Policy: MEDDICC will process your personal data in accordance with the Privacy Policy, which is incorporated into these Terms.

8.2    Data Security: MEDDICC implements appropriate security measures to protect your personal information.

8.3    Data Export: You may request export of your personal data in standard formats. MEDDICC will respond within thirty (30) days.

 

9.    SUBSCRIPTION TERM AND CANCELLATION

9.1    Subscription Term: Your subscription commences on the Effective Date and continues for the period specified in your subscription plan.

9.2    Cancellation: You may cancel your subscription with thirty (30) days' written notice, with cancellation taking effect at the end of the current billing period following the notice period. No refunds will be provided for unused portions of prepaid subscription periods.

9.3    Termination by MEDDICC: MEDDICC may terminate your access immediately if you breach these Terms.

9.4    Effect of Termination: Upon termination, your access to the Services will cease immediately and you must stop using all Training Content.

9.5    Cancellation and Consumer Rights:
(a) If Customer is a consumer, Customer has the right to cancel this agreement within fourteen (14) days of subscription without giving any reason (cooling-off period).
(b) However, Customer acknowledges and agrees that the cooling-off period ends immediately once Customer begins downloading, streaming, or accessing any Training Content, as Customer is purchasing digital content that cannot be returned.
(c) By clicking "I agree" or accessing any Training Content, Customer expressly requests that MEDDICC begins providing the digital content immediately and acknowledges that Customer thereby loses the right to cancel under consumer protection laws.
(d) After the cooling-off period has ended or been waived, Customer may still cancel the subscription at any time, but no refund will be provided for content already accessed or for the current billing period.
(e) Cancellation takes effect at the end of the current billing period, and Customer retains access to previously accessed content until that time.
(f) Training content accessed is non-refundable. Software access may be subject to different refund terms as required by consumer protection laws.
(g) EU customers may have enhanced cancellation rights under the EU Data Act, including the right to switch to alternative providers. Such rights require actual migration to a comparable service and do not permit early termination without switching. This does not affect Customer's statutory rights for defective digital content under applicable consumer protection laws.

 

10.    WARRANTIES AND DISCLAIMERS

10.1    Your Warranties: You represent and warrant that:
(a) you have the authority to enter into these Terms;    
(b) you will use the Services only for in your individual capacity and will not share access with others;
(c) you will not share access with third parties; and
(d) you will comply with all Applicable Law.

10.2     MEDDICC's Warranty: MEDDICC warrants that the Services will perform materially in accordance with the Documentation under normal use.

10.3     DISCLAIMERS: EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS". MEDDICC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

10.4    BUSINESS RESULTS DISCLAIMER: MEDDICC DOES NOT WARRANT OR GUARANTEE ANY SPECIFIC BUSINESS RESULTS, SALES PERFORMANCE IMPROVEMENTS, OR CAREER ADVANCEMENT FROM YOUR USE OF THE SERVICES. ALL RESULTS DEPEND ON YOUR IMPLEMENTATION AND APPLICATION OF THE TRAINING CONTENT

 

11.    LIMITATION OF LIABILITY

11.1     EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INTELLECTUAL PROPERTY OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES.

11.2    MEDDICC'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.3    NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR OTHER LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.

 

12.    GENERAL PROVISIONS

12.1     Entire Agreement:
These Terms constitute the entire agreement between you and MEDDICC regarding your use of the Services.

12.2     Modification: MEDDICC may update these Terms for legal compliance, security, or operational reasons by providing sixty (60) days' notice. Material changes to your rights or obligations require your consent. You may terminate if you do not accept changes.

12.3     Governing Law: These Terms are governed by the laws of England and Wales. You submit to the exclusive jurisdiction of the English courts.

12.4     Severability: If any provision is held invalid, the remaining provisions remain in full force and effect.

12.5     Assignment: You may not assign these Terms. MEDDICC may assign these Terms in connection with a merger, acquisition or sale of assets.

12.6     Notices: All notices must be in writing and delivered by email to the address associated with your account.

12.7     Independent Relationship: These Terms do not create any partnership, joint venture, or employment relationship between you and MEDDICC.

12.8     Consumer Rights: If you are a consumer under applicable consumer protection laws, nothing in these Terms affects your statutory rights. For disputes, you may contact your local consumer dispute resolution service or your local trading standards office.
